AWM charges a management fee for advisory services, expressed as a percentage of assets under management, up to 1.00% per annum. The Management Fee is negotiable and depends on the types of assets included in a Client’s Portfolio, the complexity and size of the Portfolio, the services to be provided and other factors. The Management Fee may also be expressed as a fixed fee defined as a specific USD amount defined in the Investment Advisory Agreement with each Client. Under certain circumstances, the Management Fee may be structured as percent of assets under management plus a performance fee, subject to compliance with Investment Advisers Act Rule 205- 3 for qualified Clients.
